Welcome to Wezoree.

These Terms of Use ("Terms") govern your access to and use of Wezoree's websites, platform, products, features, tools, subscriptions, and related services (collectively, the "Services").

By accessing or using the Services, creating an account, purchasing a subscription, or otherwise interacting with Wezoree, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms or our Privacy Policy, please do not access or use the Services.

We may modify these Terms from time to time. Any updated version will be posted on our website with an updated "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

1. Eligibility and Users of the Services

The Services are available to individuals and business entities that are at least 18 years old and legally capable of entering into binding agreements.

Users may include prospective brides and grooms, newlyweds, wedding guests, event hosts and other individuals ("Members"), as well as photographers, videographers, wedding planners, venues, bridal salons and other wedding or event professionals ("Vendors").

Certain areas of the Services allow Members to discover, research, contact or otherwise interact with Vendors.

Members

Wezoree provides a platform that helps Members discover wedding professionals, businesses, products and services.

Although Wezoree may take steps to review or verify information submitted by Vendors, Wezoree does not guarantee the identity, licensing, qualifications, capabilities, availability or legal compliance of any Vendor.

Wezoree does not guarantee the quality, suitability or performance of products or services provided by Vendors.

Members are responsible for conducting their own research and determining whether a Vendor is appropriate for their needs.

Vendors

If you use the Services on behalf of a company, business or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms.

Vendors are responsible for maintaining accurate business and profile information.

A Vendor's Wezoree membership or subscription is non-transferable unless expressly authorized by Wezoree.

Vendors offering products or services are responsible for maintaining any licenses, permits or authorizations required by applicable law.

If a Vendor's company undergoes dissolution, merger, acquisition, ownership changes or significant organizational changes, Wezoree may determine, in its discretion and subject to applicable law, whether an account, subscription or associated content may be retained, transferred, modified or terminated.

2. Wezoree as a Neutral Platform

Wezoree operates as an online discovery, editorial and technology platform.

Wezoree does not provide the products or professional services offered by Vendors and does not act as an agent for Members or Vendors unless expressly stated otherwise.

Wezoree is not a party to agreements entered into directly between Members and Vendors.

We do not control and cannot guarantee the accuracy, legality, quality, safety or performance of transactions, communications, services or products offered by Users.

We do not guarantee that Vendors will perform services or that Members will make payments.

3. Nondiscrimination Policy

Wezoree is committed to providing an inclusive environment for Users, guests and representatives.

Discrimination based on race, color, religion, sex, national origin, ancestry, ethnicity, immigration status, disability, marital status, pregnancy status, sexual orientation, gender identity, gender expression, veteran status, citizenship status, age or any other characteristic protected by applicable law is prohibited.

Discriminatory conduct or content may result in removal of content, restriction of access, suspension or termination of an account or Vendor relationship.

4. Jurisdictional Issues

The Services are controlled and operated from the United States.

Unless otherwise expressly stated, materials and Services provided by Wezoree are intended for use in jurisdictions where their use is lawful.

If you access or use the Services from outside the United States, you are responsible for compliance with applicable local laws.

5. Accounts, Passwords and Security

Certain features require registration and creation of an account.

You agree to provide accurate, current and complete information and to update it when necessary.

You are responsible for maintaining the confidentiality of your login credentials and for all activity conducted through your account.

You must notify Wezoree if you believe that your account has been compromised or accessed without authorization.

Wezoree is not responsible for loss resulting from your failure to maintain the security of your login credentials.

6. Google Sign-In and Third-Party Authentication

Wezoree may allow Users to create an account or sign in through third-party authentication services, including Google.

Use of third-party authentication services may also be subject to the terms and privacy policies of those providers.

Information received through Google Sign-In or other third-party authentication providers is handled in accordance with our Privacy Policy.

7. Privacy

Our collection, processing, use, storage and disclosure of personal information are governed by our Privacy Policy.

The Privacy Policy forms part of these Terms by reference.

When you communicate or transact directly with a Vendor or other third party, that party's own privacy practices may also apply.

8. Rules for Using the Services

When using the Services, you agree not to:

engage in unlawful or prohibited activities;
impersonate another person or organization;
create an account in another person's or entity's name without authorization;
create multiple accounts in violation of Wezoree policies;
use another person's account without authorization;
provide false, deceptive or misleading information;
interfere with the operation or security of the Services;
attempt unauthorized access to systems, servers, accounts or networks;
upload malicious code, viruses or other harmful technologies;
scrape, harvest or systematically collect information from the Services without authorization;
use automated tools to collect data from the Services unless expressly permitted;
overwhelm or unreasonably burden the Services with excessive requests;
reverse engineer or attempt to circumvent technical restrictions;
manipulate identifiers or information in order to conceal the origin of content or activity;
send spam, chain letters or unsolicited communications;
post unlawful, defamatory, abusive, discriminatory, obscene, threatening or infringing content;
infringe intellectual property, privacy, publicity or other rights;
use the Services to obtain competitive intelligence or create competing products in violation of applicable law;
circumvent fees, subscriptions, policies or other restrictions applicable to the Services;
engage in commercial activities through the Services without proper authorization.

Violation of these rules may result in restriction, suspension or termination of access.

9. Additional Vendor Rules

Vendors must comply with applicable local, national and international laws related to their businesses and use of the Services.

Vendors must not:

provide materially false or misleading information in their profiles;
falsely represent their identity, business, location or services;
include unauthorized promotional text or endorsements in areas where such content is prohibited;
improperly discourage Members from working with other Vendors;
transfer Member leads to non-Vendors in violation of Wezoree policies;
manipulate reviews, ratings or other platform features;
improperly influence or attempt to influence Member feedback;
engage in conduct intended to improperly influence Wezoree editorial or ranking processes.

Wezoree may restrict or terminate Vendor access where these requirements are violated.

10. Vendor Registration Rules

Country of Operation

Vendors are generally not permitted to change their registered country of operation after registration unless expressly approved by Wezoree.

Vendor Type

The Vendor category selected during registration generally cannot be changed after registration unless expressly approved by Wezoree.

City Changes

Vendors may request an update to their city within their registered country of operation.

Such requests are subject to review and approval by Wezoree.

11. Intellectual Property

The Services contain intellectual property owned by or licensed to Wezoree, including copyrighted materials, designs, logos, trademarks, trade names, names, phrases, graphics, interfaces, software, code and other content.

Except where expressly permitted by Wezoree or applicable law, Users may not:

copy;
reproduce;
modify;
distribute;
sell;
license;
publicly display;
create derivative works from;
exploit commercially;
frame;
republish;

any Wezoree intellectual property without authorization.

Nothing in these Terms transfers ownership of Wezoree intellectual property to any User.

Users may not register or use domain names, trademarks, service marks or similar identifiers that are confusingly similar to Wezoree's protected marks where such use would violate applicable law.

12. User-Submitted Content

Users may submit photographs, videos, reviews, descriptions, business information, messages and other material ("Submitted Content").

Users are solely responsible for Submitted Content they provide.

By submitting content, you represent and warrant that:

you own the necessary rights to the content; or
you have obtained all licenses, permissions and consents necessary to provide it to Wezoree.

You also represent that the submission and Wezoree's permitted use of the content do not violate applicable law or third-party rights.

By submitting content to Wezoree, you grant Wezoree a worldwide, non-exclusive, transferable, sublicensable, royalty-free license to use, reproduce, display, publish, distribute, adapt, reformat, translate and promote the Submitted Content in connection with:

the Services;
Wezoree editorial activities;
Wezoree business operations;
marketing and promotional activities.

This license includes the right to use associated names, business names, photographs, likenesses, performances and relevant biographical or business information where you have authority to provide those rights.

Where permitted by law, Wezoree may retain archival copies of Submitted Content and materials previously created using that content.

13. Prohibited Content

Users must not submit content that:

is knowingly false, inaccurate or misleading;
violates applicable law;
infringes copyrights, trademarks, patents or other intellectual property rights;
violates privacy or publicity rights;
is defamatory, abusive, discriminatory, threatening, harassing or obscene;
promotes unlawful activity;
creates an unreasonable risk of harm;
contains malicious software or code;
contains confidential or personal information that the User does not have the right to disclose;
interferes with the security or proper functioning of the Services;
improperly advertises third-party products or services where such advertising is prohibited.

Wezoree may monitor, remove or restrict Submitted Content that violates these Terms or applicable law.

14. Feedback and Suggestions

We welcome feedback regarding the Services.

Any ideas, suggestions, comments, proposals or other feedback submitted voluntarily to Wezoree may be used by Wezoree without obligation to provide compensation, unless otherwise agreed in writing.

15. Tools and Changes to the Services

The Services may include tools provided directly by Wezoree or by third parties.

We do not guarantee the continued availability, suitability or effectiveness of any particular tool, feature or functionality.

Wezoree continually tests, modifies and develops its Services.

We may add, modify, suspend or discontinue tools, features, Services or functionality at any time, subject to applicable law.

Users are responsible for maintaining their own copies or backups of important information where appropriate.

16. Fees and Paid Services

Certain Services may be available free of charge, while other features, subscriptions or services may require payment.

Vendors may purchase subscription plans, premium services or other paid products.

Prices, subscription periods, features and applicable payment terms will be presented at or before checkout or otherwise communicated to the User.

Wezoree may introduce new paid services or modify pricing and available features.

17. Payment Authorization

When purchasing paid Services, you authorize Wezoree and its payment service providers to process charges using the payment method you provide.

You are responsible for:

providing valid and accurate payment information;
maintaining a valid payment method where required;
paying amounts due under your selected subscription or service.

Wezoree may take reasonable steps to resolve:

unpaid fees;
chargebacks;
payment processing errors;
credits;
refunds;
other payment-related issues.

Where a payment processing error occurs, Wezoree may correct the error by applying an appropriate debit or credit to the applicable payment method, subject to applicable law.

18. Refund Policy

Wezoree operates under a no-refund policy for subscription payments except where:

a refund is required by applicable law; or
Wezoree expressly agrees otherwise.

This includes, without limitation:

full or partial refunds for unused subscription periods;
refunds for early cancellation of an active subscription;
refunds resulting solely from non-use of platform features or Services.

Subscription payments are considered final once processed, subject to applicable law.

19. Trial Period

Wezoree does not provide a standard trial period for subscription plans unless a specific promotion or offer expressly states otherwise.

Prospective subscribers are encouraged to review:

subscription pricing;
subscription duration;
included features;
applicable limitations;
other plan details;

before completing payment.

20. Subscription Commitment

By purchasing a subscription, you enter into an agreement for access to the applicable Services for the selected subscription period.

Once payment is processed, changes to the subscription type, duration or benefits generally do not apply retroactively unless expressly agreed by Wezoree.

Users are responsible for evaluating whether a subscription is suitable for their individual or business needs before purchase.

21. Coupons and Discounts

Wezoree may offer promotional coupons or discounts from time to time.

Additional terms may apply to particular promotional offers.

Unless expressly stated otherwise:

coupons and discounts have no cash value;
they may be restricted to particular products or Services;
only one discount may be permitted per transaction;
they may expire;
they may become void where prohibited by law;
they may be discontinued by Wezoree where legally permitted.

22. Third-Party Services and Linked Websites

The Services may contain links to third-party websites, platforms, products or services.

These links are provided for convenience and do not constitute an endorsement unless expressly stated.

Wezoree does not control third-party websites and is not responsible for:

their availability;
their accuracy;
their privacy practices;
their terms;
their content;
products or services offered through them.

Users should review the applicable terms and privacy policies of third-party services before using them.

23. Disclaimers of Warranties

The Services are provided on an "as is" and "as available" basis to the fullest extent permitted by applicable law.

Wezoree makes no representation or warranty that:

the Services will always be available;
the Services will be uninterrupted or error-free;
defects will always be corrected;
the Services will be free from harmful components;
information will always be complete, accurate or current;
use of the Services will produce any specific business, marketing, booking, financial or other result;
information transmitted or stored through the Services will never be subject to unauthorized access;
information stored through the Services will always remain retrievable and uncorrupted;
every Vendor or Member will perform obligations owed to another User.

Wezoree may correct or update information, including pricing and Service information, where necessary.

No information available through the Services constitutes medical, legal, financial or other regulated professional advice unless expressly stated otherwise.

24. Limitation of Liability

To the maximum extent permitted by applicable law, Wezoree and its affiliates, directors, officers, employees, consultants, partners, agents, representatives, content providers and service providers shall not be liable for:

indirect damages;
incidental damages;
special damages;
consequential damages;
punitive damages;
lost profits;
lost revenue;
lost opportunities;
loss of data;

arising out of or relating to the use of, or inability to use, the Services.

Wezoree is not responsible for disputes, transactions, communications, warranties, representations, actions or omissions directly between Users.

Nothing in these Terms excludes liability that cannot legally be excluded or limited.

25. User Disputes

Users are solely responsible for their interactions with other Users.

Wezoree is not a party to disputes between Members and Vendors or between other Users.

We may, but are not obligated to, assist in or monitor disputes.

To the fullest extent permitted by law, Users release Wezoree and its representatives from claims arising solely from disputes between Users or transactions directly between Users.

26. Indemnification

To the extent permitted by law, you agree to indemnify, defend and hold harmless Wezoree and its affiliates, officers, directors, employees, agents and representatives from claims, liabilities, damages, losses, costs and reasonable attorneys' fees arising from:

your use of the Services;
your Submitted Content;
your products or services;
your failure to provide or pay for products or services;
your violation of these Terms;
your violation of applicable law;
your violation of third-party rights.

Wezoree may assume control of the defense of a matter subject to indemnification, in which case you agree to reasonably cooperate.

27. Suspension or Termination

Wezoree may restrict, suspend or terminate access to some or all of the Services where reasonably necessary, including in response to:

violation of these Terms;
fraudulent or abusive activity;
multiple accounts created in violation of Wezoree policies;
non-payment;
improper manipulation of reviews or feedback;
unethical or abusive conduct;
harassment or inappropriate communications;
security concerns;
legal or regulatory requirements.

Wezoree may also remove content where permitted by law.

Termination does not eliminate obligations that accrued before termination.

Unless required by applicable law or expressly agreed otherwise, suspension or termination does not entitle a User to a refund for unused subscription time, fees or other amounts paid.

Following termination of a Vendor relationship, Wezoree may retain and display reviews and certain basic directory information where permitted by applicable law and our Privacy Policy.

28. Governing Law

These Terms are governed by the laws of the State of New York, without regard to conflict-of-law principles, except where mandatory applicable law provides otherwise.

For disputes or claims not subject to arbitration, Users agree to the jurisdiction of the applicable state and federal courts located in New York.

29. Mandatory Arbitration and Class Action Waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO BRING CERTAIN CLAIMS IN COURT.

Informal Dispute Resolution

Before initiating arbitration, you and Wezoree agree to attempt to resolve disputes informally.

Please provide:

a brief written description of the dispute;
your contact information;
the email address associated with your Wezoree account, if applicable.

Except where immediate relief is available by law, the parties agree to use reasonable efforts to resolve the dispute for at least 60 days.

Binding Arbitration

If a dispute cannot be resolved informally, either party may initiate binding arbitration where this arbitration provision is valid and enforceable.

Where applicable, the U.S. Federal Arbitration Act governs the interpretation and enforcement of this arbitration provision.

Arbitration will be conducted before a single arbitrator.

The arbitrator may decide disputes concerning the interpretation, applicability, enforceability or formation of these Terms or this arbitration agreement, to the extent permitted by applicable law.

The arbitrator may grant relief available under applicable law.

Exceptions

Either party may bring an appropriate action in court for:

certain intellectual property disputes;
injunctive relief relating to unauthorized use or abuse of the Services;
claims eligible for small claims court;
other claims that applicable law does not permit to be subject to arbitration.

Class Action Waiver

TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AND WEZOREE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN A PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE ACTION.

Unless both parties expressly agree otherwise, an arbitrator or court may not consolidate the claims of multiple individuals where prohibited by this waiver and applicable law.

30. Electronic Communications

By using the Services, you agree that Wezoree may communicate with you electronically.

Electronic communications satisfy any legal requirement that communications be in writing where permitted by law.

31. No Agency

Your use of the Services does not create an:

employment relationship;
contractor relationship;
agency;
partnership;
joint venture;
franchise relationship;

between you and Wezoree unless expressly agreed in writing.

32. No Third-Party Beneficiaries

These Terms are not intended to confer rights or benefits on any third party unless expressly stated.

33. Assignment

You may not assign your rights or obligations under these Terms without prior written consent from Wezoree.

Wezoree may assign its rights and obligations where permitted by applicable law.

34. Failure to Enforce

Failure by Wezoree to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights.

35. Severability

If any provision of these Terms is determined to be unlawful, invalid or unenforceable, that provision will be severed or limited to the minimum extent necessary.

The remaining provisions will remain in full force and effect.

36. Entire Agreement

These Terms, together with:

the Privacy Policy;
any subscription terms;
additional terms applicable to specific features, products or Services;

constitute the entire agreement between you and Wezoree regarding the applicable Services.

37. Changes to These Terms

Wezoree may revise these Terms from time to time, including in response to changes in:

the Services;
business practices;
applicable laws;
regulatory requirements.

Updated Terms will be posted on the Services with a revised "Last Updated" date.

Where required by law, Wezoree may provide additional notice regarding material changes.
